The Securities and Exchange Board of India (SEBI) announced comprehensive modifications to the regulatory framework governing Online Bond Platform Providers (OBPPs). The amendments aim to streamline operations, lower compliance burdens, and enhance market transparency for retail investors trading in corporate bonds, municipal debt, and government securities through digital execution platforms.
Online Bond Platform Providers are fintech entities that operate electronic systems facilitating the buying and selling of listed and unlisted debt securities for non-institutional investors. Introduced in 2022 under the SEBI (Issue and Listing of Non-Convertible Securities) Regulations, OBPPs brought standardisation to an over-the-counter debt market traditionally dominated by institutional investors and high-net-worth individuals.
The revised regulations expand the permissible product suite on OBPP platforms, allowing listed corporate bonds, sovereign debt instruments, municipal bonds, and securitised debt products. SEBI simplified routing mechanisms, standardised order execution workflows, and aligned reporting requirements with Recognized Stock Exchanges. The face value of debt instruments offered on a private placement basis was previously reduced from 10 lakh rupees to 1 lakh rupees to encourage retail participation.
