The Securities and Exchange Board of India (SEBI) announced the successful launch of its pilot project titled 'Demat 2.0', which introduces tokenised corporate bonds into the Indian capital market ecosystem. The initiative aims to modernize debt market operations by leveraging Distributed Ledger Technology (DLT) for issuing, trading, and settling corporate bond paper. The move is expected to streamline liquidity and reduce transaction clearing times significantly.
Tokenisation refers to converting rights to an asset into a digital token on a blockchain or distributed ledger. Historically, corporate bond markets in India have faced liquidity constraints and higher settlement periods compared to equity markets. SEBI’s introduction of tokenised bonds under Demat 2.0 represents a major regulatory shift toward adopting Web3 infrastructure within traditional financial markets, aligning India with global financial regulatory standards.
The Demat 2.0 framework introduces smart-contract-based clearing, enabling atomic settlement capabilities that drastically lower counterparty risk. Fractional ownership options embedded in tokenised instruments allow retail investors easier entry into corporate debt securities. SEBI released detailed FAQs accompanying the launch to guide market intermediaries, depositories, and issuers regarding operational and cybersecurity compliance protocols.
This initiative marks a milestone in India's fintech regulatory landscape.
